End User License Agreement (EULA)

This End User License Agreement ("Agreement") is a legally binding contract between you ("User," "you," or "your") and Lisa ("Company," "we," "us," or "our") governing your use of the Lisa mobile application and website, including all related services, features, content, and AI-generated interactions (collectively, the "Service").

By downloading, installing, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree to these terms, do not use the Service.

1. Eligibility

1.1 Age Requirement

The Service is intended exclusively for individuals aged 18 and older. By using the Service, you represent and warrant that you are at least 18 years of age. If we discover or have reason to believe that a user is under 18, we will immediately terminate their account and delete all associated data.

1.2 Legal Capacity

By agreeing to this EULA, you represent that you have the legal capacity to enter into a binding agreement in your jurisdiction.

1.3 Geographic Restrictions

The Service may not be available in all jurisdictions. You are responsible for ensuring that your use of the Service complies with the laws of your jurisdiction. We reserve the right to restrict access to the Service from certain locations at our sole discretion.

2. License Grant

2.1 Limited License

Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Service on devices you own or control, solely for your personal, non-commercial use.

3. Account Registration and Security

3.1 Account Creation

To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately at support@lisa.mobi if you become aware of any unauthorized access to or use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.

3.3 One Account Per User

Each user may maintain only one active account. We reserve the right to terminate duplicate accounts without notice.

4. Subscription and Payment

4.1 Free Trial

New users are eligible for a 7-day free trial. No credit card is required to start the free trial. At the end of the trial period, you must select a subscription plan to continue using the Service. If you do not select a plan, your access to the Service will be suspended.

4.2 Subscription Plans

The Service is offered on a subscription basis at the following rates (subject to change with notice):

All plans include unlimited messages, access to all 10 AI personas, conversation history, and priority responses.

4.3 Billing and Renewal

Subscriptions are billed in advance on a recurring basis according to the billing cycle you select. Your subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date.

4.4 Payment Processing

Payments are processed through the Apple App Store, Google Play Store, or our third-party payment processor (Stripe). All payment transactions are subject to the terms and conditions of the applicable payment processor. We do not store your full payment card details.

4.5 Price Changes

We reserve the right to change subscription pricing at any time. If we change pricing, we will provide you with at least 30 days' advance notice. The new price will take effect at the start of your next billing cycle following the notice period. Your continued use of the Service after the price change constitutes your acceptance of the new pricing.

4.6 Cancellation

You may cancel your subscription at any time through your account settings, the Apple App Store, or the Google Play Store. Upon cancellation, you will retain access to the Service until the end of your current billing period. No refunds are provided for partial billing periods.

4.7 Refunds

Refund eligibility is governed by the policies of the Apple App Store or Google Play Store, as applicable. For subscriptions purchased directly through our website, refund requests may be submitted to support@lisa.mobi within 14 days of the initial purchase. Refunds are issued at our sole discretion.

5. Nature of the Service

5.1 AI-Generated Content

The Service provides AI-generated conversational interactions through virtual personas. All personas, including their names, personalities, backgrounds, and responses, are entirely fictional and generated by artificial intelligence. No real persons are represented.

5.2 No Human Interaction

You acknowledge and understand that all interactions within the Service are with AI-generated personas, not real human beings. The personas do not have consciousness, emotions, or independent thought.

5.3 Not a Substitute for Professional Services

The Service is intended for entertainment purposes only. It is not a substitute for professional advice, including but not limited to mental health counseling, therapy, medical advice, legal advice, or financial advice. If you are experiencing a mental health crisis, please contact a qualified professional or emergency service.

5.4 No Guarantee of Accuracy

AI-generated responses may contain inaccuracies, errors, or content that does not reflect real-world facts. We do not guarantee the accuracy, completeness, or reliability of any AI-generated content. You should not rely on the Service for factual information or decision-making.

5.5 Content Nature

The Service may generate content of an adult or mature nature, including romantic, suggestive, or explicit conversational content. By using the Service, you acknowledge and consent to the possibility of encountering such content.

You agree to use the Service in a lawful and responsible manner. You shall not use the Service to:

You retain ownership of the messages and content you submit to the Service. By submitting content, you grant us a limited, non-exclusive license to process and store such content solely for the purpose of providing and improving the Service.

6.3 Enforcement

We reserve the right to investigate and take appropriate action against any user who, in our sole discretion, violates this section, including but not limited to removing content, suspending or terminating accounts, and reporting violations to law enforcement authorities.

7. Intellectual Property

7.1 Our Intellectual Property

The Service, including but not limited to its software, AI models, algorithms, design, graphics, text, logos, trademarks, and all other content, is owned by or licensed to the Company and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws. Nothing in this Agreement grants you any right, title, or interest in our intellectual property except for the limited license expressly set forth in Section 2.

7.2 AI-Generated Content

AI-generated conversational content produced through your use of the Service does not create any intellectual property rights for you. You may not claim ownership, copyright, or other proprietary rights over AI-generated responses.

7.3 Feedback

If you provide us with feedback, suggestions, or ideas regarding the Service, you grant us an unrestricted, irrevocable, perpetual, royalty-free license to use, modify, and incorporate such feedback for any purpose without obligation to you.

8. Privacy

Your use of the Service is also governed by our Privacy Policy, available at lisa.mobi/privacy, which is incorporated into this Agreement by reference. By using the Service, you consent to our collection, use, and disclosure of your information as described in the Privacy Policy.

9. Third-Party Services

9.1 App Stores

The Service may be distributed through the Apple App Store and Google Play Store. Your use of these platforms is subject to their respective terms and conditions. In the event of any conflict between this Agreement and the terms of an app store, the app store terms shall govern with respect to the distribution and download of the Service from that platform.

9.2 Third-Party Links

The Service may contain links to third-party websites or services. We are not responsible for the content, privacy practices, or terms of any third-party services. Access to third-party services is at your own risk.

10. Disclaimers

10.1 "As Is" Basis

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, statutory, or otherwise. To the fullest extent permitted by applicable law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.

10.2 No Guarantee of Availability

We do not warrant that the Service will be uninterrupted, timely, secure, or error-free. We reserve the right to modify, suspend, or discontinue the Service at any time without notice or liability.

10.3 AI Limitations

We do not warrant that AI-generated content will be accurate, appropriate, or suitable for any particular purpose. AI responses are probabilistic and may vary. We are not responsible for any decisions or actions you take based on AI-generated content.

11. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall the Company, its directors, officers, employees, agents, affiliates, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or in connection with your use of or inability to use the Service, regardless of the theory of liability (contract, tort, strict liability, or otherwise), even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for all claims arising out of or relating to this Agreement or the Service shall not exceed the amount you have paid us in the twelve (12) months immediately preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless the Company, its directors, officers, employees, agents, affiliates, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of this Agreement, your violation of any applicable law, or your violation of any rights of a third party.

13. Termination

13.1 Termination by You

You may terminate this Agreement at any time by deleting your account and uninstalling the Service from all of your devices.

13.2 Termination by Us

We may suspend or terminate your account and access to the Service at any time, with or without cause and with or without notice, including but not limited to situations where we reasonably believe you have violated this Agreement.

13.3 Effect of Termination

Upon termination, your license to use the Service is immediately revoked. We will delete your account data in accordance with our Privacy Policy. Sections 6.2, 7, 10, 11, 12, 14, and 15 of this Agreement shall survive termination.

14. Dispute Resolution

14.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

14.2 Arbitration

Any dispute, controversy, or claim arising out of or relating to this Agreement or the Service shall be resolved by binding arbitration administered in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Wilmington, Delaware, and shall be conducted in English. The arbitrator's decision shall be final and binding.

14.3 Class Action Waiver

You agree that any disputes shall be resolved on an individual basis and not as part of any class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

14.4 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement or misappropriation of intellectual property rights.

15. General Provisions

15.1 Entire Agreement

This Agreement, together with the Privacy Policy, constitutes the entire agreement between you and the Company regarding the Service and supersedes all prior agreements, understandings, and communications, whether written or oral.

15.2 Severability

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

15.3 Waiver

Our failure to enforce any right or provision of this Agreement shall not constitute a waiver of that right or provision. A waiver of any term shall only be effective if in writing and signed by the Company.

15.4 Assignment

You may not assign or transfer this Agreement or any of your rights or obligations hereunder without our prior written consent. We may assign this Agreement without restriction.

15.5 Force Majeure

We shall not be liable for any failure or delay in performing our obligations under this Agreement to the extent that such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, acts of war, terrorism, pandemics, government actions, power failures, internet disruptions, or third-party service provider failures.

15.6 Notices

We may provide notices to you through the Service, via email to the address associated with your account, or by other reasonable means. You may provide notices to us at support@lisa.mobi.

15.7 Amendments

We reserve the right to modify this Agreement at any time. We will notify you of material changes by posting the updated Agreement within the Service and updating the "Last Updated" date. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Agreement.
